Disney and Reliance Merger Valued at $8.5 Billion

$8.5 Billion Disney-Reliance Merger: Reliance Group Secures 63% Stake, Completion Expected by Early 2025

The Walt Disney Company and Mukesh Ambani’s Reliance Industries have announced the integration of their television and digital platforms in India.

The merger involves the consolidation of Reliance’s Viacom18 with Disney’s Star India, valuing the merged entity at $8.5 billion on a ‘post-money basis,’ as stated by the companies. Reliance Industries will hold a 16.3% stake post-merger, Viacom18 will control 46.8%, and Disney will have 36.8%.

An investment of $1.4 billion will be made into the venture by the Reliance group, with Nita Ambani taking the position of chairperson. Uday Shankar, the former chair of Disney India, will be vice chair and strategic advisor.

The merger brings together competing streaming services, the leading pay-TV service in India, and more than 100 television channels, potentially revolutionizing the Indian media and entertainment industry with a 40% market share. The companies highlighted, “The JV will have over 750 million viewers across India and will also cater to the Indian diaspora across the world.” They further mentioned, “The JV will also be granted exclusive rights to distribute Disney films and productions in India, with a license to more than 30,000 Disney content assets, providing a full suite of entertainment options for the Indian consumer.”

Given the scale of the deal, it’s likely to attract attention from regulatory bodies. The firms anticipate finalizing the transaction by the end of this year or early in 2025, noting, “Disney may also contribute certain additional media assets to the JV, subject to regulatory and third-party approvals.”

Bob Iger, CEO of The Walt Disney Company, expressed his enthusiasm for the venture, stating, “India is the world’s most populous market, and we are excited for the opportunities that this joint venture will provide to create long-term value for the company. Reliance has a deep understanding of the Indian market and consumer, and together we will create one of the country’s leading media companies, allowing us to better serve consumers with a broad portfolio of digital services and entertainment and sports content.”

Mukesh D. Ambani, chair and MD of Reliance Industries, also shared his perspective, remarking, “This is a landmark agreement that heralds a new era in the Indian entertainment industry. We have always respected Disney as the best media group globally and are very excited at forming this strategic joint venture that will help us pool our extensive resources, creative prowess, and market insights to deliver unparalleled content at affordable prices to audiences across the nation. We welcome Disney as a key partner of Reliance group.”

Disney had expanded its footprint in the Indian entertainment sector with the acquisition of 21st Century Fox, which included Star’s pay-TV platform and the popular Hotstar streaming service, later amalgamated into Disney+ to form a mass-market streaming platform.

Despite Disney’s strong position, it faced competition from Viacom18 and its range of Jio-branded services. Disney’s decision in 2022 not to secure the streaming rights for the Indian Premier League cricket tournament for the 2023-2027 seasons, which Jio acquired and streamed on JioCinema for free, led to a significant loss of subscribers for Disney+ Hotstar.

Jio’s substantial financial backing has allowed it to take advantage of the ongoing consolidation in Hollywood. It became the new streaming home for HBO, Max Original, and Warner Bros content in India, precluding the potential launch of HBO Max in the region and representing a setback for Disney, which had previously offered WBD content on Star TV.

This new venture emerges as Sony Group Corporation discontinues its attempt to merge its Indian TV and streaming operations with Zee Entertainment Enterprises Limited, a deal poised to be valued at $10 billion.
